Stop letting legal uncertainty slow down your business.

We know your business isn't run from an ivory tower, and neither is our firm. We provide down-to-earth, straightforward legal advice that protects your bottom line without getting you tangled in corporate legalese. Get the protection of an in-house legal team with 100% transparent pricing: predictable flat monthly rates for your everyday compliance, contracts, and vendor questions, and clear, upfront flat-rate quotes for complex custom drafting or litigation.

Real Legal Backup Without the "Billable Hour" Anxiety.

Most business owners avoid calling an attorney for one simple reason: they know a “quick phone call” usually means waiting a week or more to finally speak with an attorney and getting a $500 invoice for the call.

To save money and time, owners try to handle the paperwork themselves. They sign risky vendor contracts, eat the cost of unpaid invoices, and try to navigate client disputes on their own. By the time they finally call a lawyer, a minor dispute has turned into a massive, expensive crisis, and they’re facing a court date.

Are you losing money to...

  • Accounts Receivable Bottlenecks: Commercial clients or corporate customers withholding final payments on technicalities or dragging invoices past 60 days?

  • Unenforceable Client Contracts: Relying on generic boilerplate contracts that fail to limit your liability or protect your intellectual property under Virginia law?

  • Toxic Vendor & Commercial Leases: Signing commercial leases or vendor agreements with hidden personal guarantees, automatic multi-year renewals, and one-sided indemnity clauses?

  • Entity & Governance Exposure: Operating without updated corporate records, resolutions, or operating agreements—putting your personal assets at risk by piercing the corporate veil?

Our Business Legal Counsel Plans flip the traditional law firm model on its head.

Instead of paying a lawyer to put out a fire after it starts, you get proactive, preventative legal protection for a predictable flat monthly rate.

What Your Monthly Plan Actually Does:

  • Operational "Sanity Checks": Get rapid priority access for day-to-day employment, contract, and vendor questions without the hourly meter running for a simple 10-minute gut-check. When a vendor pushes back or an employee dispute emerges, consult counsel before taking action.

  • Pre-Execution Contract Reviews (Read & Flag Only): Send over commercial agreements, master vendor contracts, or commercial leases before you sign. We review the agreement and provide an Attorney Risk Checklist identifying one-sided liability traps, default terms, and termination pitfalls. (Revisions, custom redlining, and addenda drafting are quoted separately at clear upfront flat fees.)

  • The 60-Day Delinquent Account Pipeline: When a commercial client or customer account reaches sixty (60) days past due, alert our office immediately. You can access our expedited enforcement docket for formal Attorney Demand Letters and General District or Circuit Court Warrant in Debt filings.

  • Corporate Governance Reminders: We track your annual Virginia State Corporation Commission (SCC) registration renewal deadlines, providing courtesy reminders so administrative entity lapses never jeopardize your corporate liability shield.

  • Waived Onboarding Fee: We credit your $300 Initial Strategy Session directly toward your first monthly invoice, completely waiving our standard $500 Business Onboarding & Compliance Audit.

Virginia State Bar Compliance & Fee Disclosures

  • Nature of Monthly Retainer Fee: Monthly subscription tiers are structured as periodic fixed-fee business counsel service plans billed on the first (1st) day of each calendar month. The recurring fee compensates the firm for maintaining ongoing attorney availability, conflict screening, priority scheduling, corporate deadline reminders, and designated monthly consultation and contract review allowances for that billing period. Fees are deemed earned upon the provision of these ongoing business counsel and advisory services during each monthly billing cycle.

  • Review-Only Scope: All contract review allowances include reading, analysis, and issue-spotting advice only. Contract allowances do not include redlining, drafting strike-through revisions, preparing custom riders/addenda, or direct third-party negotiations. All drafting and revisions are quoted separately at clear, upfront flat rates or standard hourly billing.

  • Litigation & Court Proceedings Excluded: Contested courtroom proceedings, arbitrations, administrative hearings (including SCC enforcement actions), and litigation of any nature are strictly excluded from monthly retainer packages and are billed at our standard hourly rates (Managing Attorney: $350/hr; Associate Attorney: $250/hr). Retainer discounts do not apply to hourly litigation.

  • No Internal Project or Accounts Receivable Tracking: The Law Office of Katherine A. Nichols, PLLC does not maintain or track client internal bookkeeping, project schedules, invoice maturity dates, or statute of limitations clocks. The client remains solely responsible for monitoring payment timelines and notifying the firm in writing when legal collection action is requested.

  • Registered Agent Disclaimer: The firm does not serve as client’s Registered Agent, nor does the firm accept service of process on behalf of retainer clients. State filing fees, local business license fees, and court costs are not included in monthly retainers and are billed directly at cost.

How It Works (3 Simple Steps)

  1. Book Your $300 Initial Strategy Session: Just like you review a client’s needs before you offer services, we assess your business first before we offer recommendations. We will discuss your current business formation, operational goals and risks, and any current legal concerns to determine our game plan. (Note: This is a diagnostic strategy session, not a working session for document drafting or contract review).

  2. Select Your Plan & Waive Your Setup Fee: Choose the flat-rate tier that matches your business volume. We automatically apply your initial $300 session fee to completely waive your $500 Initial Business Onboarding Audit, meaning your first invoice is strictly your flat monthly rate.

  3. Focus on Growing Your Business: You receive direct priority contact access to Attorney Nichols. Reach out for a sanity check before making a difficult operational decision, submit a vendor agreement for pre-execution risk analysis, or alert us when an invoice reaches 60 days overdue. If out-of-scope drafting or court litigation is required, you receive a transparent quote before any work starts.

FAQs

What exactly counts as a "Sanity Check"?

It covers routine operational "sanity checks" that require 10 minutes or less of attorney analysis without the need for extensive document review. This includes questions like whether a specific phrasing in an email to a vendor is legally safe, how to handle a difficult client interaction, or a quick check on a Virginia compliance rule. If your request requires us to review a lengthy commercial lease, perform deep legal research, or draft custom language, it falls outside the brief inquiry scope, but we will always provide an upfront flat-rate quote before proceeding.

What happens if I need contract revisions, redlines, or litigation?

2

Contract review allowances under all tiers cover reading and risk assessment only. If you need us to actively redline contract language, draft custom addenda, negotiate directly with opposing counsel, or represent your business in court, that work falls outside the monthly retainer. Out-of-scope drafting is quoted upfront at transparent flat fees (with eligible 10% tier discounts applied), and courtroom litigation is billed at our standard hourly rates ($350/hr for Managing Attorney; $250/hr for Associate Attorney).

Are state and local filing fees included in the monthly plans?

3

No. While we provide courtesy deadline tracking and notifications, direct registration and renewal fees charged by the Virginia SCC or local municipalities are billed directly to you at cost with zero attorney markups. Furthermore, our firm does not serve as a Registered Agent or accept legal service on behalf of clients.

What is the contract term for these plans?

4

Business Legal Plans require an initial six (6) month commitment, ensuring we can build and maintain your business compliance profile. After the initial six (6) months, plans convert to a month-to-month agreement that can be modified or canceled at any time upon 30 days' written notice prior to the next billing cycle.

Do I have to pay an onboarding fee to start a monthly legal plan?

5

All new business clients begin with a 45-minute Initial Strategy Session ($300). When you enroll in any of our Business Legal Plans following that session, we automatically apply that $300 fee to completely waive our standard $500 Initial Business Onboarding Audit. This means your first invoice is strictly your flat monthly rate.
